TERMS AND CONDITIONS – TARADIN CommV
1. Identity of the Service Provider
These terms and conditions apply to all offers, agreements and services provided by Taradin CommV, with registered office at Muntstraat 16, 2000 Antwerp, Belgium,

(hereinafter referred to as "Taradin").
2. Services
Taradin provides professional services in the field of role alignment, decision architecture and identity-based leadership, in the form of analyses, assessments (including LPA®), mirror sessions, decision-support interventions and focused professional guidance, for organisations as well as for individual professionals who carry responsibility.
The services are aimed at making visible whether and how a role can be sustainably carried by a person within a specific organisational context, in order to support clear and well-founded decisions regarding appointments, role positioning, leadership responsibilities and strategic direction.
The services have an analytical, reflective and decision-oriented character.
They do not constitute coaching programmes, therapy, medical treatment or psychological care within the meaning of healthcare legislation.
Services are provided by Margareta Pyckhout, senior leadership professional, assessment practitioner and integrative psychotherapist in training.
3. Applicability
These terms and conditions apply to every offer, agreement and service provided by Taradin, unless explicitly agreed otherwise in writing.
By booking a session, entering into an agreement or confirming a collaboration, the client or commissioning organisation declares to have taken note of and accepted these terms and conditions.
4. Formation of the Agreement
An agreement is deemed to be concluded upon:

written confirmation (by email or offer), or
-
booking of a session or service, or
-
commencement of the service with mutual consent.
5. Fees and Payment
Fees are communicated in advance and are exclusive of VAT, unless stated otherwise.
Invoices are payable within 14 days of the invoice date, unless agreed otherwise in writing.
In case of non-payment, Taradin reserves the right to suspend further services.
6. Cancellation and Rescheduling
Individual sessions may be cancelled or rescheduled free of charge up to 48 hours before the agreed time.
In case of late cancellation or no-show, the session may be charged in full.
For tailored assignments, trajectories or workshops, the arrangements as specified in the offer or agreement apply.
7. Assessments and Reporting
Results of assessments and analyses (including LPA®) are always interpreted within their specific context.
Reports and feedback are indicative and do not constitute diagnoses or absolute statements.
The client or commissioning organisation remains fully responsible for the interpretation and application of the results in professional or organisational decision-making.
Reports are confidential and may not be shared with third parties without prior written consent.
8. Responsibility and Best-Efforts Obligation
Taradin commits to a best-efforts obligation, not to a results obligation.
Clients remain responsible for their own choices, decisions and actions, even when these are partly informed by Taradin's services.
9. Liability
Taradin's liability is in all cases limited to the amount of the invoiced services to which the liability relates.
Taradin cannot be held liable for indirect damage, consequential damage or immaterial damage.
10. Confidentiality
All information shared during the course of the services is treated as strictly confidential, unless:

the client has explicitly given consent to disclosure, or
-
Taradin is legally obliged to disclose such information.
11. Intellectual Property and Publications
All methodologies, models, texts, frameworks, reports, assessments, diagrams and materials developed or used by Taradin remain the exclusive intellectual property of Taradin, unless agreed otherwise in writing.
These materials may not be copied, distributed or commercially used without prior written permission.
Taradin reserves the right to process insights, models and professional experiences into publications (such as books, articles or lectures), always in an anonymous and non-identifiable manner, with full respect for confidentiality and privacy.
12. Complaints
Any complaints must be submitted in writing within a reasonable period.
Taradin undertakes to handle complaints carefully and in dialogue.
13. Applicable Law and Jurisdiction
All agreements are governed by Belgian law.
Any disputes fall under the exclusive jurisdiction of the courts of the district of Antwerp.
